Public offer for connecting and using the SmileFuture service

This document is a public offer to enter into a contract under Article 437 of the Civil Code of the Russian Federation. It is addressed to legal entities and sole proprietors that provide dental services (the “Clinic”).

Provider: OOO “BAUART IT SOLUTIONS” (ООО «БАУАРТ АЙТИ РЕШЕНИЯ»), OGRN 1252400004691, INN 2466302057, registered address: 20K 2nd Bryanskaya Street, Krasnoyarsk, Russia (the “Provider”).

Accepting this offer — by registering an account and confirming the terms, or by installing the widget on the Clinic’s website in demo mode — means the Clinic accepts every term of this contract in full, without signing a paper copy.

1. Subject

1.1. The Provider gives the Clinic access to the SmileFuture software service: a widget that visualizes a possible orthodontic or dental treatment result and is embedded on the Clinic’s website (the “Widget”), together with the related functions that collect and pass on prospective patients’ contact details (the “Leads”).

1.2. The Widget is provided as a monthly subscription under the plan the Clinic selects, published at smilefuture.bauartit.ru/pricing.

2. Roles in personal-data processing

2.1. The Provider is the personal-data operator for Widget users (visitors to the Clinic’s website who upload a photograph) for the whole processing cycle: receiving the photograph, generating the visualization, collecting contact details, and passing the Lead to the Clinic. The Provider independently determines the purposes and means of processing and complies with Federal Law No. 152-FZ “On Personal Data”.

2.2. The Clinic is the recipient of the Lead — the finished result of that processing (a prospective patient’s contact details). The Clinic is not the personal-data operator for the Widget cycle before it receives the Lead.

2.3. From the moment the Clinic receives a Lead, it independently determines the purposes and means of any further processing of that prospective patient’s contact details (for example, a call to book a consultation) and is solely responsible for complying with applicable personal-data law in those later actions.

2.4. The Clinic must not use contact details received through the Widget for purposes other than those stated in the Provider’s Privacy policy. In particular, the Clinic must not add them to its own mailings or databases without a separate consent from the data subject.

3. Rights and duties

3.1. The Provider shall:

• keep the Widget working in line with the selected plan;
• pass Leads to the Clinic in real time or with minimal delay;
• protect personal data as required by Federal Law No. 152-FZ.

3.2. The Clinic shall:

• place the Widget embed code on its website according to the instructions;
• pay on time under the selected plan, or use demo mode for a time-limited trial;
• use the Leads only for purposes related to providing dental services.

4. Plans and payment

4.1. Current plans are published at smilefuture.bauartit.ru/pricing. Payment is monthly, in advance.

4.2. New Clinics receive a 30-day trial on the terms published on the Provider’s marketing site. The Provider may change the trial terms unilaterally for new registrations.

5. Limitation of liability

5.1. A visualization generated by the Widget is an artistic simulation made with artificial intelligence. It is not a medical prediction, a diagnosis, or a guarantee of a treatment result. The Clinic must not present Widget results to patients as a medical guarantee.

5.2. The Provider is not liable for decisions the Clinic or third parties make based on a visualization generated by the Widget.

5.3. The Provider is not liable for what the Clinic does with Leads after they have been passed to the Clinic.

5.4. If the Clinic uses a Widget visualization in its own advertising (website, social media, print, and so on), the Clinic must add its own warning about contraindications and the need to consult a specialist, as required by Article 24(7) of Federal Law No. 38-FZ “On Advertising”. The Provider is not liable if the Clinic breaks advertising law in that use.

6. Term and termination

6.1. The contract lasts until the Clinic stops using the service. The Clinic may stop using the Widget at any time from its account, without giving a reason.

6.2. The Provider may suspend the Clinic’s access if the Clinic breaks this offer, including if it uses Leads in breach of clause 2.4.

7. Changes

7.1. The Provider may unilaterally change this offer, the plans, and the Widget’s features, by notifying the Clinic in the account or by email at least 7 days before the changes take effect.
